1. Introduction

Welcome to Loopin, a service owned and operated by Codoworks (“Codoworks”, “we”, “our”, or “us”).

By accessing, downloading, installing, registering, or using Loopin in any way, you acknowledge and agree that you have read, understood, and accepted these Terms & Conditions (“Terms”), as well as our Privacy Policy.

If you do not agree to all of these Terms, you must not access or use Loopin. Your continued use of the Service constitutes your binding acceptance of all updates and modifications to these Terms.

2. Definitions

• “Service” or “Loopin” means the Loopin web and mobile applications, including related software, APIs, and infrastructure.
• “User” or “you” means any person or entity that accesses or uses Loopin.
• “Account” means the user profile registered with Loopin.
• “Content” means data, text, images, or materials submitted, uploaded, or displayed through Loopin.
• “Third-Party Providers” means external platforms integrated to deliver parts of the Service (e.g. Google Analytics, Firebase, Stripe, Mailchimp, DigitalOcean).

3. Acceptance of Terms

By using Loopin, you automatically agree to be bound by these Terms and any future revisions. Codoworks reserves the right to modify, suspend, or terminate any part of the Service, or these Terms, at any time and for any reason, without prior notice.

It is your responsibility to review these Terms periodically. Continued use after any changes constitutes acceptance of the updated Terms.

4. Eligibility

• You must be at least 13 years old (or 16 within the EU) to use Loopin.
• Users under 18 must have permission from a parent or legal guardian.
• By using Loopin, you represent and warrant that you meet all eligibility requirements.

Codoworks may refuse access to any user or account, at its sole discretion, without liability.

5. Account Responsibilities

• Provide accurate and complete registration information.
• Keep your login credentials secure and confidential.
• Accept full responsibility for all activity under your account.

Codoworks reserves the right to suspend, restrict, or terminate accounts that: violate these Terms, misuse the Service, pose security or reputational risks, or are inactive for an extended period.

6. Use Restrictions

• Copy, modify, reverse-engineer, or decompile any part of Loopin;
• Use the Service for unlawful, harmful, or fraudulent purposes;
• Upload malware or interfere with Service operation;
• Use automated systems to scrape or harvest data;
• Impersonate Codoworks or another user.

Codoworks retains the right to investigate violations and take appropriate legal or technical action.

7. Fees, Payments, and Subscriptions

• Certain features require payment or subscription.
• Payments are processed securely via Stripe.
• All fees are due upfront and are non-refundable, except as required by law.
• Codoworks may modify pricing, plans, or billing terms at any time with notice.
• You authorize Codoworks (and its payment processor) to charge your designated payment method for recurring subscriptions.

Failure to pay fees when due may result in suspension or termination of your account.

8. Third-Party Services

Codoworks is not responsible or liable for the content, performance, or conduct of any third-party service or integration.

9. Intellectual Property

All rights, title, and interest in and to Loopin, including its software, trademarks, user interface, design, and content, are and shall remain the exclusive property of Codoworks.

You are granted a limited, non-exclusive, revocable, non-transferable license to use Loopin for your personal or authorized business use only.

You may not copy, modify, distribute, or create derivative works based on Loopin without express written consent from Codoworks.

10. User Content

You retain ownership of any content you upload or create through Loopin. However, by uploading content, you grant Codoworks a worldwide, royalty-free, transferable license to host, display, reproduce, and use your content as necessary to operate and improve the Service.

Codoworks reserves the right to remove or restrict any content deemed inappropriate, unlawful, or in violation of these Terms.

11. Data & Privacy

Your use of Loopin is governed by our Privacy Policy. By using the Service, you consent to Codoworks’ collection, storage, and processing of your information, including transfer to third-party providers as necessary to deliver the Service.

12. Service Availability

Loopin is provided “as is” and “as available.” Codoworks does not guarantee continuous or error-free operation and reserves the right to:

• Suspend or limit access for maintenance or upgrades;
• Modify or discontinue the Service at any time;
• Restrict access based on region, usage, or compliance obligations.

Codoworks shall not be liable for any service interruption, loss of data, or delay.

13. Limitation of Liability

To the maximum extent permitted by law:

• Codoworks shall not be liable for indirect, incidental, special, or consequential damages;
• Codoworks’ total liability for any claim shall not exceed the total fees paid by you in the past 12 months;
• You assume all risk for use of the Service, including reliance on any data, analytics, or results produced by Loopin.

14. Indemnification

You agree to indemnify, defend, and hold harmless Codoworks, its affiliates, directors, employees, and licensors from and against any claims, damages, or losses arising from:

• Your use of Loopin;
• Your violation of these Terms or any law;
• Any third-party claim related to content or conduct originating from your account.

15. Termination

Codoworks may, at its sole discretion and without notice, suspend or terminate your access to Loopin for any reason, including violation of these Terms or inactivity.

Upon termination, your license to use Loopin immediately ceases. Codoworks may delete or restrict access to your account data at its discretion.

16. Disclaimer of Warranties

Loopin is provided without warranties of any kind, express or implied. Codoworks disclaims all warranties including merchantability, fitness for a particular purpose, or non-infringement.

17. Governing Law & Jurisdiction

These Terms are governed by the laws of New South Wales, Australia, and you agree to submit to the exclusive jurisdiction of its courts.

18. Entire Agreement

These Terms constitute the complete and exclusive agreement between you and Codoworks concerning the use of Loopin and supersede any prior agreements.

19. Severability

If any provision of these Terms is found invalid, the remaining provisions remain in effect.
